Overview
UNCDF is seeking to engage a law firm with expertise in negotiation of contribution agreements for financial instruments between international or multilateral organizations and the European Union.
The law firm will be engaged as outside counsel and will assist, and report exclusively to, the Office of Legal Services of the Bureau for Management Services (“BMS/OLS”) of the United Nations Development Programme (“UNDP”). BMS/OLS will work in cooperation with a team from UNCDF.
The law firm is expected to deliver by 31 December 2023, text of the following template agreements agreed between UNCDF and the European Union and cleared by BMS/OLS:
- a template Contribution Agreement for Unfunded Financial Instruments (the "CAUFI"); and
- a template Contribution Agreement for Financial Instruments (the "CAFI")
In particular, the legal services may include:
- In coordination with BMS/OLS, review and comment on the European Union template for contribution agreement for financial instruments and the Supervisory Measures proposed by the European Union. These will need to be adjusted to reflect the privileges and immunities and other legal clauses derived from the legal status of UNCDF and the legal framework applicable to the relations between the European Union and the United Nations.
- In coordination with BMS/OLS and UNCDF, negotiate the Supervisory Measures, the CAFIs and the CAUFIs, with the European Commission.
- Work collaboratively with UNDP and UNCDF to resolve all open legal and business issues that arise during the negotiation.
The law firm should indicate in its proposal the method through which this could be accomplished, and the related fee structure.
